1. Introduction

Welcome to Cloudfluencers. These Terms and Conditions ("Terms") govern your access to and use of the Cloudfluencers platform, including our website, services, and applications (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Platform.

2. Definitions

For the purpose of these Terms:

• "User" refers to any individual or entity that accesses or uses the Platform.
• "Creator" refers to individuals who register on the Platform as content creators or influencers.
• "Business" refers to companies, brands, or entities that register on the Platform to collaborate with Creators.
• "Content" refers to all text, images, videos, graphics, or other materials uploaded, posted, or shared on the Platform.
• "Collaboration" refers to any agreement, contract, or partnership formed between Creators and Businesses through the Platform.

3. Account Registration and Eligibility

To access certain features of the Platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Keep your account credentials secure and confidential.
• Be responsible for all activities that occur under your account.
• Immediately notify us of any unauthorized use of your account.

You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account. By creating an account, you represent and warrant that you are at least 18 years old.

4. Platform Services

4.1 For Businesses

As a Business user, you may:

• Post campaign opportunities.
• Search for and connect with Creators.
• Manage campaign deliverables and contracts.
• Communicate with Creators through our messaging system.
• Access analytics and reporting on campaigns.

4.2 For Creators

As a Creator user, you may:

• Create and manage your profile.
• Connect your social media accounts.
• Search for and apply to campaign opportunities.
• Connect with other Creators and Businesses.
• Manage collaborations and contracts.
• Access analytics for your connected social accounts.

5. User Conduct

When using the Platform, you agree not to:

• Violate any applicable laws or regulations.
• Infringe upon the rights of others, including intellectual property rights.
• Harass, abuse, or harm another person.
• Interfere with or disrupt the Platform or servers or networks connected to the Platform.
• Use the Platform to send spam, chain letters, or other unsolicited communications.
• Attempt to bypass any measures we may use to prevent or restrict access to the Platform.
• Misrepresent your identity or affiliation with any person or entity.
• Post false, misleading, or deceptive content.
• Use the messaging system for purposes unrelated to legitimate business collaborations.

6. Social Media Account Integration

The Platform allows Creators to connect their social media accounts to enhance their profiles and provide analytics. By connecting your social media accounts, you:

• Grant us permission to access your social media data in accordance with our Privacy Policy.
• Confirm that you have the right to connect these accounts and share their data.
• Understand that we are not responsible for the practices of social media platforms whose accounts you connect.
• Acknowledge that your connected accounts are subject to the terms and policies of those respective platforms.

We may revoke access to social media integrations if we believe you are violating these Terms or if the respective platform changes its access policies.

7. Collaborations and Contracts

The Platform facilitates collaborations between Businesses and Creators. However:

• We act solely as a facilitator and are not a party to any contract between Businesses and Creators.
• We do not guarantee the performance of either party in a collaboration.
• Users are solely responsible for the terms of their contracts, including payment terms, deliverables, and timelines.
• We recommend that Users consult with legal professionals before entering into binding agreements.

While we provide contract templates and management tools, these are for convenience only and should not be considered legal advice.

8. Content and Intellectual Property

8.1 User Content

You retain all rights to the Content you upload, post, or share on the Platform. By posting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, publicly display, reproduce, and distribute such Content on and through the Platform for the purposes of providing and improving our services.

8.2 Platform Content

The Platform and its original content, features, and functionality are owned by Cloudfluencers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Platform without prior written consent.

9. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you.

10. Limitation of Liability

To the maximum extent permitted by law, Cloudfluencers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform.
• Any conduct or content of any third party on the Platform, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

11. Indemnification

You agree to defend, indemnify, and hold harmless Cloudfluencers and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Modifications to the Platform and Terms

We reserve the right to modify or discontinue, temporarily or permanently, the Platform or any features or portions thereof without prior notice. We also reserve the right to update these Terms at any time. We will provide notice of significant changes to these Terms by posting the revised Terms on the Platform and updating the "Last Updated" date at the top. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

13. Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of Arbitration in Switzerland. The arbitration shall be conducted in English and the arbitral decision may be enforced in any court.

16. Entire Agreement

These Terms constitute the entire agreement between you and Cloudfluencers regarding the Platform and supersede all prior and contemporaneous written or oral agreements between you and Cloudfluencers.
